To register as a NexusXchange Shop Partner, you must be a legally operating electronics repair business or parts supplier registered in India.
You must possess a Trade License or Shop Act License for electronics services and a valid address proof for your shop premises. A GSTIN (GST Identification Number) is optional on NexusXchange, but if you are required by law to be registered for GST you must register and provide your GSTIN.
You may submit relevant training or industry credentials for review. No third-party certificate automatically grants a badge or guarantees a shop's competence, licensing, work or legal compliance. NexusXchange will identify the checks that support any verification status shown on a profile.
Providing false information during registration will result in immediate permanent ban from the platform and may result in legal action under the Information Technology Act, 2000.
Before extracting any parts from a donor device, the shop must perform a complete factory reset or certified data wipe. This wipe must be confirmed on the NexusXchange platform with a timestamp before the deal can proceed to PIN 2. Failure to confirm data wipe will flag the deal for admin review and may result in suspension.
Do not access, copy, store, transmit or share personal data found on a customer device except where the customer has expressly authorised a necessary step. Unauthorised access or disclosure may breach applicable privacy and information-technology laws and may expose the responsible person to legal consequences.
All devices in the shop's custody must be stored in a physically secure, locked area. Devices must not be left unattended in public areas of the shop, left in vehicles overnight, or stored outside the registered shop premises.
The shop must maintain an accurate inventory of all devices in custody on the NexusXchange platform, including device type, condition, and current status (received / in-repair / parts extracted / ready for return / handed to W-Collector).
For every device received at the shop, a collection receipt must be provided to the party dropping off the device. This receipt must include: device description, IMEI (if available), condition at time of receipt, and date/time of receipt.
The shop is responsible for unauthorised access, disclosure, or loss of customer data caused by the shop or its staff, including reasonable costs and losses arising from its failure to follow this section. The shop must promptly notify affected customers and NexusXchange and cooperate with containment and legally required notifications. This allocation does not exclude or reduce NexusXchange's own legal duties or liability that cannot lawfully be excluded.
The shop accepts full legal responsibility for all devices from the moment PIN 1 is confirmed (devices received) until PIN 2 is confirmed (repair completed and all parties satisfied). During this period, any damage, loss, or theft of devices is the shop's liability.
If a deal falls through after PIN 1 confirmation — for any reason — the shop must return all devices to their respective owners within 48 hours, in the same condition as received. The shop must cover reasonable return logistics costs.
Any additional damage caused to a device during repair that was not present at time of receipt must be disclosed to all parties immediately via the platform chat. The shop must offer appropriate compensation or repair at no additional cost.
NexusXchange strongly recommends shops carry professional indemnity insurance or electronics repair business insurance. This is not mandatory but protects both the shop and customers in case of accidental damage.
Shop quotes must be accurate and complete, including all labour charges, part values, e-waste fees, and applicable GST. Hidden charges not included in the original quote are not permitted.
All shop quotes are valid for 48 hours from generation. After expiry, a new quote may be issued. Shops may not retract or modify a quote once accepted by all parties.
Repairs must be performed to industry standard. Parts installed must match the specification listed in the quote. Substituting lower-quality parts without explicit buyer consent is grounds for dispute and suspension.
Shops must maintain a minimum average rating of 3.5 out of 5 after 10 or more completed deals. Shops falling below this threshold will be flagged for review and may be temporarily suspended.
The shop is responsible for determining whether GST applies to each supply, and for using the correct classification, valuation, rate and invoice treatment under the law and notifications in force on the transaction date. Rates and HSN/SAC classifications depend on the specific goods, service and transaction; NexusXchange does not provide tax advice. Confirm them with your chartered accountant or tax adviser before invoicing.
For every completed deal, the shop must issue a GST-compliant tax invoice to the buyer. The invoice must include: Shop GSTIN (where the shop is GST-registered), Invoice number, Date, Line items with HSN/SAC codes, GST amounts, and total payable amount.
The shop is solely responsible for filing GST returns for all transactions conducted through the NexusXchange platform. NexusXchange provides transaction records to assist but does not file on behalf of shop partners.
If the shop has provided a GSTIN, it must ensure the GSTIN remains active and valid at all times. A cancelled or suspended GSTIN will result in immediate suspension of the shop's NexusXchange account until the issue is resolved.
The one-time ₹9 match fee is generally non-refundable once the paid introduction or feature has been provided. It covers access to matching and communication tools, not the outcome of a repair or sale. We will review duplicate or incorrect charges, a feature not being provided, and refunds required by law; mandatory remedies are not limited.
Quotes you send carry a 2% platform fee on top of the repair cost, paid by the buyer. NexusXchange may also charge a commission on completed repair work, set by NexusXchange and shown in your dashboard. We will tell you before any change takes effect.
NexusXchange does not collect or hold the customer's payment for the repair or parts. The buyer pays you directly after the work is confirmed. You are responsible for invoicing and for GST on your own services.
If a commission or fee is not paid when due, the shop must settle it within 24 hours of notice. Repeated non-payment may lead to suspension.
After every repair, the shop must update the component inventory on the platform, listing all leftover parts with their condition grade. This triggers the W-Collector notification system.
When a W-Collector is matched and accepts collection of leftover parts, the shop must make the parts available within the agreed timeframe. The shop cannot sell or dispose of matched parts through other channels once a W-Collector has been assigned.
Any parts not collected by a W-Collector must be disposed of responsibly through certified e-waste channels. Dumping electronic waste in regular garbage or landfills is a violation of E-Waste Management Rules, 2022 and grounds for immediate termination.
The following activities will result in immediate permanent ban and may result in legal action:
Accessing, copying, or sharing customer data from devices in custody.
Installing counterfeit, incompatible, or lower-quality parts than quoted.
Changing quote amounts after acceptance or charging undisclosed fees.
Submitting forged or expired GST certificates, trade licenses, or address proofs.
Failing to return customer devices after deal cancellation.
Registering multiple shops with the same GSTIN, UPI, or device fingerprint to circumvent platform rules.
Facilitating deals introduced through NexusXchange outside the platform to avoid platform fees.
The following will trigger automatic suspension pending review: rating below 3.5 after 10+ deals, dispute rate exceeding 20%, unconfirmed data wipe on 2+ deals, unpaid fees or commission, GSTIN cancellation.
NexusXchange admin may suspend a shop account at any time pending investigation of reported misconduct. The shop will be notified within 24 hours with the specific reason.
Suspended shops may appeal by emailing support@nexusxchange.co.in with supporting evidence. Appeals are reviewed within 5 business days. The decision is final.
Termination may be reviewed through support. Account and transaction data are retained only as needed for the service, security, dispute handling and applicable legal record-keeping duties, and otherwise deleted or anonymised under the Privacy Policy. A single seven-year retention period does not apply to every data type.
NexusXchange operates solely as a technology platform that connects buyers, sellers, and certified shop partners: matchmaking, listings, chat, scheduling, and collection of the platform fee. NexusXchange is not a party to the repair service, parts sale, or any agreement between buyer, seller, and shop, and does not inspect, test, or warrant any device, part, or repair.
The shop partner is an independent business and bears full legal and financial responsibility for: the quality, safety, and workmanship of all repairs; the condition, genuineness, and fitment of all parts installed or sold; device custody and security as set out in Sections 2 and 3; compliance with GST and all other applicable laws; and any loss, damage, injury, or dispute arising from the shop's services, regardless of whether the shop was located or matched to a customer through NexusXchange.
To the extent permitted by law, the shop must indemnify and hold harmless Ajaa Industries, NexusXchange and their personnel against third-party claims, losses, regulatory liabilities, penalties and reasonable documented legal costs arising from the shop's or its staff's or contractors' breach of these terms, negligence, wilful misconduct, unlawful act, or repair, sale, handling or disposal of a device, part or customer data. This includes claims relating to injury or property damage, loss or damage to a device, defective or misrepresented goods or services, data misuse, tax non-compliance, and environmental or e-waste non-compliance. The shop must promptly notify NexusXchange of a claim, provide reasonable cooperation, and must not settle a claim in a way that imposes an obligation or admission on NexusXchange without its written consent. This indemnity does not apply to the extent a claim was caused by NexusXchange's own breach, negligence or wilful misconduct, and does not exclude or reduce any duty or liability that cannot lawfully be excluded.
NexusXchange does not warrant or guarantee the quality of any repair, part, or service provided by a shop partner, buyer, or seller. A NexusXchange verification status or badge reflects only the checks described in Sections 1 and 4. It is not an endorsement, inspection, or guarantee of outcome.
To the maximum extent permitted by law, NexusXchange's liability for a claim is limited to the platform fees paid for the specific transaction giving rise to it, and we exclude liability for indirect loss. This limit does not apply where it would exclude or restrict a consumer right, remedy, statutory duty or liability that cannot lawfully be excluded or restricted.
Disputes between a buyer, seller, and shop are primarily the responsibility of those parties to resolve. NexusXchange may review grievances and disputes raised through the in-app process and, at its sole discretion, may mediate, suspend accounts, or determine refund eligibility for platform fees. This discretion does not make NexusXchange a guarantor of any outcome between the parties.
By submitting your shop onboarding application and accepting these terms, you confirm that you have read and agree to them. They are governed by Indian law. Nothing here limits a consumer's right to approach a forum or court that has jurisdiction under applicable law.
NexusXchange reserves the right to update these terms at any time. Continued use of the platform after notification of changes constitutes acceptance of the updated terms.
NexusXchange is a product of Ajaa Industries, operated by GUDDATI SWETHA (Proprietor).
